Terms of Service

1. Acceptance of Terms

By accessing or using the CrownHarbor Tech client portal (the “Portal”), including but not limited to submitting support tickets, paying invoices, viewing quotes, or sharing files, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Portal.

2. Eligibility and Account Registration

  • You must be an authorized representative of a CrownHarbor Tech customer to access the Portal.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You agree to notify CrownHarbor immediately if you suspect unauthorized use of your account.

3. Scope of Services

The Portal may provide access to the following:

  • Submission and tracking of service tickets.

  • Viewing and paying invoices.

  • Accessing quotes, proposals, and related documents.

  • Secure file sharing between CrownHarbor and Client.

CrownHarbor may update, modify, or discontinue features at any time without liability.

4. Payments

  • Clients may pay invoices through the Portal via credit card or ACH transfer.

  • By providing payment information, you authorize CrownHarbor and its third-party payment processors to process payments in accordance with applicable invoice terms.

  • Late payments may be subject to interest charges and/or service suspension in accordance with your underlying Service Agreement.

  • All payments are non-refundable unless otherwise required by law or explicitly stated in your Service Agreement.

5. Acceptable Use

You agree not to:

  • Use the Portal for unlawful, fraudulent, or abusive purposes.

  • Interfere with the security or proper functioning of the Portal.

  • Share, copy, or distribute Portal content except as necessary for your internal business use.

CrownHarbor reserves the right to suspend or terminate access for violations of this section.

6. Confidentiality and Data Security

  • Client data uploaded to or processed through the Portal will be treated as confidential in accordance with CrownHarbor’s internal policies and any applicable service agreements.

  • CrownHarbor employs commercially reasonable safeguards to protect data; however, no system is completely secure, and CrownHarbor disclaims liability for unauthorized access beyond its reasonable control.

7. Privacy Policy

Use of the Portal is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.

8. Intellectual Property

All content, designs, software, and materials provided through the Portal remain the property of CrownHarbor or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Portal solely for your business relationship with CrownHarbor.

9. Disclaimers

  • The Portal is provided “as is” and “as available” without warranties of any kind, express or implied.

  • CrownHarbor does not warrant that the Portal will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law:

  • CrownHarbor shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to Portal use.

  • CrownHarbor’s total liability for any claim shall not exceed the fees paid by Client to CrownHarbor for services in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CrownHarbor, its affiliates, and employees from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising out of your use of the Portal or violation of these Terms.

12. Termination

CrownHarbor may suspend or terminate Portal access at its discretion, with or without cause. Sections regarding payments, confidentiality, intellectual property, disclaimers, and limitations of liability will survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina.

14. Changes to Terms

CrownHarbor reserves the right to modify these Terms at any time. Updated Terms will be posted on the Portal with a new effective date. Continued use of the Portal after changes constitutes acceptance of the revised Terms.
